Terms of Service

1. Business-to-Business Use

The Site is intended for commercial and professional use by contractors, builders, distributors, and other businesses. By using the Site you represent that you are at least 18 years old and, where you act on behalf of a company, that you are authorized to bind that company to these Terms.

2. Accounts

Certain features require an account. You agree to provide accurate, current, and complete information and to keep your login credentials confidential. You are responsible for all activity that occurs under your account. Notify us promptly at sales@firestop-usa.com of any unauthorized use. We may approve, decline, suspend, or terminate accounts at our discretion.

3. Products, Specifications & Suitability

We are an authorized distributor of Metacaulk®, RectorSeal®, and related firestop products. Product descriptions, images, UL system references, technical data sheets (TDS), and safety data sheets (SDS) are provided for general information and may be updated or corrected at any time.

Firestop products must be selected and installed in accordance with the applicable tested and listed UL system, the manufacturer's instructions, and all applicable building and fire codes. Information on the Site is not engineering advice and does not replace the judgment of a qualified design professional or code official. You are solely responsible for confirming that a product is appropriate for your specific application.

4. Pricing, Taxes & Availability

Prices are in U.S. dollars and are subject to change without notice. While we work to ensure accuracy, we are not responsible for typographical or pricing errors and reserve the right to correct them, cancel affected orders, and refund any amount charged.

Applicable New Jersey sales tax (and any other applicable tax) will be added unless a valid resale or exemption certificate is on file. All products are subject to availability.

5. Orders & Acceptance

Your submission of an order is an offer to purchase. All orders are subject to our acceptance. We may accept or decline any order, in whole or in part, including after a charge has been authorized, in which case we will refund the affected amount.

6. Payment & Stored Payment Methods

Payments are processed by our third-party payment processor, Stripe. When you save a card or place an order, you authorize us and Stripe to charge your selected payment method for the order total, applicable taxes, and any freight or other applicable fees. We do not store full payment card numbers on our servers. Members may be required to keep a valid payment method on file and to sign a card-processing authorization.

7. Membership Tiers & Discounts

We may offer membership tiers with volume-based pricing and discounts that apply automatically once qualifying criteria (such as accumulated eligible purchases over a rolling period) are met. Tiers, thresholds, and associated benefits are informational and may change at our discretion.

8. Credit Terms (Approved Accounts)

Approved accounts may be extended Net-30 credit terms. Credit is available only to qualifying accounts that complete a credit application, provide credit references, sign a personal guarantee, keep a valid payment method on file, and consent to automatic charging of that payment method on the invoice due date.

If a scheduled payment is late, declined, or returned, you may forfeit any discount associated with that billing period, and past-due amounts may accrue late fees and interest to the maximum extent permitted by law. We may modify or revoke credit terms at any time.

9. Shipping, Freight & Risk of Loss

Many orders ship directly from our supplier or manufacturer ("drop-ship"). Delivery dates are estimates and are not guaranteed. Freight charges apply to orders below the published free-freight threshold.

Unless otherwise agreed in writing, title and risk of loss pass to you upon delivery to the carrier (F.O.B. origin). Claims for shortage or visible damage must be noted at the time of delivery and reported to us promptly.

10. Returns & Cancellations

Return and cancellation requests must be authorized by us in advance (RMA). Returned goods must be new, unused, in original packaging, and eligible for return by the manufacturer. Custom, special-order, hazardous, and certain other items may be non-returnable. Restocking fees and return freight may apply. Contact sales@firestop-usa.com to request an RMA.

11. Manufacturer Warranties; Disclaimer

Products may carry warranties provided by their manufacturers; any such warranty is provided by the manufacturer, not by us. EXCEPT AS EXPRESSLY STATED, THE SITE AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," AND WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FIRESTOP-USA AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, ARISING FROM OR RELATED TO THE SITE OR THE PRODUCTS. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless FT Building Materials LLC and its owners, employees, and agents from any claims, losses, or expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of products, or your violation of any law or the rights of a third party.

14. Intellectual Property

Metacaulk®, RectorSeal®, and other product marks are the property of their respective owners. The Site and its content (excluding manufacturer materials) are owned by us and may not be copied, reproduced, or used without our permission.

15. Governing Law & Venue

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules. You agree that the exclusive venue for any dispute arising from these Terms or the Site will be the state or federal courts located in New Jersey, and you consent to their jurisdiction.

16. Changes to These Terms

We may update these Terms from time to time. Changes are effective when posted, and your continued use of the Site after changes are posted constitutes acceptance.
